You agree that any content, images, trademarks, logos, data, or other materials you provide to Logic Labs are either owned by you or used with appropriate authorization.

Delays caused by missing information, late approvals, unavailable access, or other client-side issues may affect project timelines.

4. Payments and Fees

Fees, payment schedules, deposits, and other financial terms will be communicated before or during the engagement and may be specified in a proposal, invoice, or service agreement.

Unless otherwise agreed in writing:

  • Payments are due according to the agreed payment schedule.

  • Deposits or initial payments may be non-refundable once work has commenced.

  • Additional work outside the agreed scope may result in additional charges.

  • Logic Labs may pause or suspend work if required payments are overdue.

Any applicable taxes, transaction fees, or third-party charges may be the responsibility of the client unless otherwise agreed in writing.

5. Project Scope and Revisions

Project deliverables will be based on the agreed scope of work.

Requests that fall outside the original scope may be treated as additional work and may require additional fees or an updated timeline.

The number of revisions included in a project will depend on the applicable proposal or service agreement.

Final approval of deliverables confirms that the client accepts the completed work according to the agreed scope.

6. Third-Party Services and Platforms

Some projects may require third-party services, software, hosting providers, plugins, themes, APIs, payment processors, advertising platforms, or other external services.

Logic Labs does not control third-party platforms and is not responsible for changes, outages, pricing, restrictions, security incidents, or discontinuation of third-party services.

Clients may be responsible for maintaining their own third-party accounts, licenses, subscriptions, and associated fees unless otherwise agreed.

7. Intellectual Property

Unless otherwise stated in a written agreement, Logic Labs retains ownership of its pre-existing materials, proprietary processes, tools, templates, frameworks, code libraries, and other intellectual property used to provide services.

Upon receipt of full payment, ownership or usage rights for final client-specific deliverables will be transferred or licensed according to the applicable project agreement.

Third-party materials, software, fonts, plugins, stock assets, and other licensed resources remain subject to their respective licenses and terms.

8. Website Content and Client Materials

The client retains ownership of materials and content supplied to Logic Labs.

By providing materials to us, you grant Logic Labs permission to use, reproduce, modify, and display those materials as reasonably necessary to provide the agreed services.

The client is responsible for ensuring that supplied materials do not violate applicable laws or the rights of third parties.

9. Communications and SMS

Where applicable, Logic Labs may communicate with clients through email, phone calls, and SMS.

SMS communications are subject to the consent provided through applicable website forms or other communication channels.

Message frequency may vary and message and data rates may apply.

You may opt out of SMS communications by replying STOP to a text message. For assistance, reply HELP.

SMS consent is not a condition of purchasing any goods or services.

10. Refunds and Cancellations

Any refund eligibility will be determined according to the applicable agreement and the circumstances of the cancellation.

11. Warranties and Disclaimers

We strive to provide professional and reliable services; however, we do not guarantee that:

  • Specific business, marketing, SEO, advertising, traffic, revenue, or conversion results will be achieved.

Services are provided based on the agreed scope and requirements.

To the maximum extent permitted by applicable law, Logic Labs disclaims warranties that are not expressly stated in a written agreement.

12. Limitation of Liability

Termination does not eliminate obligations that arose before termination, including payment obligations and applicable intellectual property or confidentiality provisions.
